These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by Amelioration Development LLC ("Amelioration," "we," "us," or "our"), including ameliorationdev.com and all subdomains and applications (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Services.
1. Eligibility
You must be at least 13 years of age to use the Services. By using the Services, you represent that you are 13 or older and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Account Registration
Some Services require you to create an account. When you register, you agree to:
- Provide accurate, current, and complete information.
- Maintain and promptly update your account information.
- Keep your password secure and not share it with others.
- Notify us immediately at contact@ameliorationdev.com if you believe your account has been compromised.
You are responsible for all activity that occurs under your account.
3. Description of Services
Amelioration develops and operates productivity applications designed to reduce administrative friction for individuals, families, and small organizations. Our current Services include:
- Vendorly — Event vendor and permit management for market and event organizers and their vendors.
- Additional applications (Nest, Gather, Tempo) are in development and subject to these Terms upon launch.
We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice where practicable.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable law or regulation.
- Use the Services to send spam, unsolicited communications, or to engage in any form of harassment.
- Attempt to gain unauthorized access to any portion of the Services, other accounts, or systems connected to the Services.
- Upload, transmit, or distribute any content that is unlawful, harmful, fraudulent, or infringes on the intellectual property rights of others.
- Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Services.
- Use automated tools (bots, scrapers, crawlers) to access the Services in a way that places undue burden on our infrastructure.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
5. User Content
Some Services allow you to submit, upload, or store content ("User Content"), such as event details, vendor profiles, or messages. You retain ownership of your User Content. By submitting User Content, you grant Amelioration a limited, non-exclusive, royalty-free license to store, display, and process your User Content solely to the extent necessary to provide the Services.
You represent that you have all rights necessary to grant this license and that your User Content does not violate any third-party rights or applicable law.
6. Intellectual Property
The Services and all content, features, and functionality (including but not limited to text, graphics, logos, and software) are owned by Amelioration Development LLC and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Services without our prior written permission.
7. Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.
8. Third-Party Services
The Services may link to or integrate with third-party websites or services. We are not responsible for the content or practices of those third parties, and their use is governed by their own terms and privacy policies.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AMELIORATION DEVELOPMENT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Amelioration Development LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.
12. Termination
We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties.
You may terminate your account at any time by contacting us at contact@ameliorationdev.com. Upon termination, your right to use the Services ceases immediately.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Effective date" at the top of this page. We will provide reasonable notice of material changes. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance.
